Verdiex provides web-based software that helps small defense contractors draft a CMMC System Security Plan (SSP), calculate a SPRS score based on their questionnaire responses, and track compliance gaps. The software guides you through the 110 controls in NIST SP 800-171 Rev 2 and generates documentation you can use in the assessment process.
Verdiex prepares your CMMC compliance documentation. A C3PAO (Certified Third Party Assessment Organization) performs the actual assessment and issues certification. Verdiex does not certify any contractor, and our output should not be construed as an assessment, audit, certification, or legal advice. Engaging a C3PAO through the Cyber AB marketplace is a separate step you must take independent of using Verdiex.
As of the effective date of these Terms, the Verdiex website is collecting early-access interest. No paid services are currently available. These Terms will apply when the paid service launches. By submitting your email through the early-access form, you are requesting to be notified when the service becomes available. You are not entering into a paid agreement at this time.
Verdiex will offer a subscription model billed monthly through Stripe. The following terms will apply at launch (subject to change before that date):

Verdiex generates your SSP from questionnaire answers about your practices and environment. You describe how your organization handles data in plain English. You should not upload, paste, or submit through the tool:
The tool is designed so that you never need to do this. If you are unsure whether something is safe to submit, do not submit it and contact us for guidance.
You retain ownership of all data you submit to Verdiex, including your questionnaire responses and generated documents. By using the service, you grant Verdiex a limited license to process and store that data for the sole purpose of delivering the service to you. We do not sell your data or use it to train models for third parties.
On cancellation or termination of your account, we will make your data available for export for a reasonable period before deletion. See our Privacy Policy for full data handling details.
Verdiex retains all rights in the software, platform, and proprietary content, including the control questionnaires, scoring logic, and SSP templates. Your data remains yours. Nothing in these Terms transfers ownership of either party's intellectual property to the other.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VERDIEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY GENERATED DOCUMENT WILL BE ACCEPTED BY A C3PAO OR ANY GOVERNMENT AGENCY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDIEX AND ITS PRINCIPALS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR CONTRACTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VERDIEX IN THE THREE MONTHS PRECEDING THE CLAIM.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida.
Either party may terminate the service relationship at any time. You may cancel your account through the account settings or by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, we will make your data available for export for a reasonable period, after which it will be deleted in accordance with our Privacy Policy.
We will update these Terms as the service evolves and as required by law. We will post the updated Terms here with a new effective date. For material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
